Agreement to these Terms
These Terms of Service ("Terms") are a legal agreement between you and Workado, LLC, an Arizona limited liability company doing business as Moxby ("Moxby," "we," "us," or "our"). They govern your access to and use of the Moxby Services.
By creating an account, installing or using a Moxby browser extension or the Desktop Bridge, accessing the account portal, installing a Marketplace item, or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
If you use Moxby for an organization, you represent that you have authority to bind that organization. In that case, "you" includes the organization and its authorized users.
The Moxby Services
The "Services" include:
- the Moxby website, account portal, support center, and public tools;
- the Moxby browser extensions;
- the optional Moxby Desktop Bridge;
- Moxby Chat, Mods, Missions, Skills, Projects, usage reporting, and other product features;
- the Moxby Marketplace, publisher tools, listings, packages, and related services; and
- updates, previews, trials, and related software and services we make available.
A "Mod" is browser software that may change or add features to an existing website or operate as a focused app in the browser. A "Mission" is an agentic workflow designed to operate toward a goal or KPI. The "Bridge" is the optional desktop companion that can connect supported provider authentication and extend approved work to local files, applications, and computer capabilities.
We may add, change, suspend, or discontinue parts of the Services. Preview, beta, or experimental features may be incomplete, change without notice, or be removed before general release.
Eligibility and accounts
You must be at least 18 or the age of legal majority where you live and capable of entering a binding contract. If an organization authorizes your use, you must comply with its policies and instructions.
You must provide accurate account information and keep it current. You are responsible for protecting your account credentials, provider accounts, API keys, browser profile, device, and all activity under your account. Do not share credentials or allow unauthorized access. Notify us promptly if you suspect unauthorized use or a security incident.
Workspace owners and administrators may manage users, roles, access, entitlements, billing, and other organization settings. You are responsible for confirming that each user is authorized and for removing access when it is no longer appropriate.
License and software updates
Subject to these Terms, Moxby grants you a limited, nonexclusive, nontransferable, nonsublicensable, and revocable license to install and use the Moxby software and access the Services for your own personal or internal business purposes during the applicable subscription or access period.
You may not copy, rent, lease, sell, sublicense, distribute, or commercially exploit Moxby software except through an expressly authorized Marketplace or reseller program. You may not reverse engineer, decompile, or attempt to derive source code except to the extent applicable law prohibits that restriction.
Moxby may install or require updates for security, compatibility, performance, or functionality. Browser and operating-system stores may separately control installation, review, permissions, and updates under their own terms.
Your content and instructions
You retain your rights in the prompts, files, page content, code, images, instructions, Mods, Projects, Mission definitions, and other material you submit or create through the Services ("Your Content"). You grant Moxby a limited license to host, process, reproduce, transmit, display, and modify Your Content only as reasonably necessary to provide, secure, support, and improve the Services or comply with law.
You represent that you have all rights, permissions, and authority needed to provide Your Content and direct Moxby to access or act on any website, account, application, file, system, or data. You remain responsible for Your Content, your instructions, and the consequences of actions performed at your direction.
If you publish a Marketplace listing, you grant Moxby the rights reasonably necessary to host, scan, reproduce, distribute, promote, preview, install, update, and support the listing and package. Any additional publisher, payment, revenue-share, or distribution terms presented during publication also apply.
If you give us feedback or suggestions, you grant Moxby a perpetual, worldwide, royalty-free right to use them without restriction or compensation.
AI models and third-party providers
Moxby can connect to third-party AI and model services such as Anthropic's Claude and Claude Code, OpenAI's ChatGPT and Codex, OpenRouter, and Google Gemini. Some connections use your provider account, subscription, API key, local command-line authentication, or another provider-authorized method.
Your use of a provider is also governed by that provider's terms, policies, usage limits, pricing, data controls, and availability. Moxby does not control and is not responsible for a provider's models, output, retention, training, security, service changes, suspension, billing, or legal compliance. OpenRouter may route a request to the model host you select, whose separate terms may also apply.
AI output can be inaccurate, incomplete, offensive, unsafe, nonunique, or unsuitable for your purpose. Models and agents can misunderstand instructions or take an unintended action. You must evaluate outputs, test code, review sources, confirm permissions, and apply appropriate human oversight before relying on an output or allowing a consequential action.
Moxby is not a substitute for legal, medical, financial, employment, security, compliance, or other professional advice. Do not use the Services as the sole basis for a decision that has a legal or similarly significant effect on a person.
Browser and computer actions
Depending on the permissions you grant and the feature you invoke, Moxby may read or change page content, execute scripts, navigate, click, type, upload, download, inspect network behavior, use authenticated sessions, access selected tabs, and interact with websites. When paired with the Desktop Bridge, Moxby may also use approved files, applications, command-line tools, local services, and operating-system capabilities.
Automation can produce unintended effects, including changed or deleted data, sent communications, published content, purchases, account changes, or actions on third-party systems. You are responsible for selecting an appropriate scope, keeping permissions limited, reviewing consequential actions, maintaining backups, and supervising the Services according to the risk of the task.
You may use Moxby only on websites, accounts, data, and systems that you own or are authorized to access. Moxby does not grant you permission to bypass a website's restrictions, another person's rights, or applicable law.
Mods, Missions, Skills, and Marketplace content
Marketplace content may be published by Moxby or independent third parties. Each listing may have its own requirements, permissions, license, support terms, privacy policy, connected services, price, and usage conditions. You must review those materials before installing, buying, enabling, or relying on a listing.
Moxby may scan, review, moderate, rank, recommend, feature, or remove a listing, but does not guarantee that third-party content is accurate, secure, lawful, compatible, available, free from defects, or suitable for your needs. A scan, badge, collection, review, recommendation, or featured placement is not an endorsement or warranty.
Third-party Mods may contain scripts or connect to services that process your data under separate terms. Custom Mods, scripts, Missions, Skills, and workflows created by you or an agent may also cause errors, expose data, or take unwanted actions. You are solely responsible for testing, reviewing, authorizing, maintaining, and using third-party or custom content.
To the maximum extent permitted by law, Moxby is not liable for third-party Marketplace content, publisher conduct, external services, or Mods, scripts, code, Missions, Skills, and workflows created or modified by you or on your behalf.
Acceptable use
You may not use the Services to:
- violate law, contractual restrictions, intellectual property, privacy, publicity, confidentiality, or other rights;
- access, monitor, scrape, test, or control a system or account without authorization;
- distribute malware, steal credentials, exfiltrate data, evade security controls, or interfere with a device, network, service, or user;
- conduct covert surveillance, unlawful tracking, deceptive impersonation, phishing, fraud, harassment, or exploitation;
- send spam or automate communications in violation of law, platform rules, or recipient consent requirements;
- circumvent usage limits, payment requirements, technical protections, browser-store rules, or provider policies;
- make high-impact decisions about a person without legally required notice, consent, safeguards, and qualified human review;
- upload or publish content or code you do not have the right to use;
- probe, overload, disrupt, or compromise Moxby or its service providers; or
- help another person do any of the above.
You must comply with applicable browser-store, model-provider, website, connected-service, export, sanctions, and industry rules. We may investigate suspected violations and remove content, restrict features, or suspend access where reasonably necessary.
Plans, trials, billing, and cancellation
Moxby may offer free access, trials, paid plans, usage allowances, Marketplace purchases, and other paid services. Current prices, billing intervals, entitlements, limits, and renewal terms are shown at purchase or in the account portal. Taxes may apply.
At checkout, you choose a monthly or annual subscription term. You are not committed beyond the current term you selected. Unless you cancel before the renewal date, your subscription automatically renews for another term of the same length and you authorize Moxby and its payment processor to charge the payment method on file for the recurring fees and applicable taxes.
You can cancel at any time from the Moxby account portal at account.moxby.com. Cancellation stops the next automatic renewal. You retain access through the end of the monthly or annual term already paid for unless your access is suspended or terminated under these Terms. If you do not cancel before the renewal date, the subscription renews and the renewal charge is due.
Trials may require a payment method and may convert to the selected paid plan at the end of the trial unless canceled. We may limit eligibility for repeat trials. Except where required by law or expressly stated at purchase, all fees and renewal charges are nonrefundable, and we do not provide refunds or credits for a partially used monthly or annual term.
Model-provider subscriptions, API charges, OpenRouter credits, connected-service fees, internet access, and other third-party costs are separate from Moxby fees unless a purchase screen expressly says otherwise. You are responsible for those charges.
We may change prices or plan features with reasonable advance notice when required. If payment fails, a plan expires, or usage exceeds an allowance, we may limit paid features, return the account to available free access, or suspend the affected service.
Moxby ownership
Moxby and its licensors own the Services, Moxby software, brand, designs, documentation, websites, and other materials we provide, excluding Your Content and third-party content. These Terms do not transfer ownership of Moxby intellectual property to you.
You may not remove proprietary notices, use Moxby trademarks without written permission, or imply sponsorship or endorsement that does not exist. Rights not expressly granted are reserved.
Third-party services
The Services may link to or interoperate with browser stores, websites, AI providers, payment processors, databases, hosting services, command-line tools, external APIs, and other third-party products. Your relationship with each third party is governed by its own terms and privacy policy.
Moxby is not responsible for third-party products, content, availability, security, data practices, charges, account actions, or changes. Supporting a connection does not mean Moxby endorses or controls the third party.
Privacy
Our Privacy Policy explains how Moxby collects, uses, discloses, and retains information, including browser content, model requests, account information, product analytics, and Marketplace data. A third-party provider or Mod may apply its own privacy policy to information it receives.
Suspension and termination
You may stop using the Services at any time. You can cancel a subscription through the account portal and uninstall the extension or Bridge through your browser or operating system.
We may suspend, restrict, or terminate access if you violate these Terms, create a security or legal risk, fail to pay amounts due, abuse the Services, or if continued service is no longer reasonably practicable. When appropriate, we will provide notice and an opportunity to address the issue.
Upon termination, your license to use Moxby ends. Local data may remain on your device until you remove it. Cloud information is handled under our Privacy Policy and applicable legal obligations. Provisions that by their nature should survive termination will survive, including ownership, payment obligations, disclaimers, liability limits, indemnity, dispute terms, and general provisions.
Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available." Moxby disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, noninfringement, and any warranty arising from course of dealing or usage of trade.
We do not warrant that the Services, a model, output, Mod, Mission, integration, or third-party service will be accurate, uninterrupted, secure, error-free, compatible, or suitable for your purpose. We do not guarantee a business result, KPI improvement, token savings amount, security outcome, or availability of any browser store, model, provider, website, or connected service.
Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.
Limitation of liability
To the maximum extent permitted by law, Moxby and its owners, affiliates, officers, employees, agents, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, goodwill, use, or data, arising out of or related to the Services, even if advised that such damages are possible.
To the maximum extent permitted by law, the total liability of Moxby and the foregoing parties for all claims arising out of or related to the Services or these Terms will not exceed the greater of one hundred U.S. dollars or the amount you paid directly to Moxby for the Services during the 12 months before the event giving rise to the claim.
These limitations apply regardless of the legal theory and include claims involving AI output, agent actions, browser or computer changes, lost data, third-party providers, Marketplace content, and custom Mods or workflows. The limitations do not apply where prohibited by law.
Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless Moxby and its owners, affiliates, officers, employees, agents, suppliers, and licensors from claims, liabilities, damages, losses, and reasonable costs, including attorneys' fees, arising from Your Content, your Mods or workflows, your use of the Services, your violation of these Terms, or your violation of another person's rights. Moxby may control the defense of a matter subject to indemnity, and you will cooperate with that defense.
Copyright and rights complaints
If you believe content available through Moxby infringes your copyright or other rights, email [email protected] with your contact information, identification of the protected work or right, the content and location at issue, the basis for your claim, and a statement that the information is accurate and you are authorized to act.
We may remove or restrict content and terminate repeat infringers where appropriate. False notices can create liability, so consider obtaining legal advice before submitting a complaint.
Governing law and disputes
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Services must be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and each party consents to personal jurisdiction and venue there.
Before filing a claim, you and Moxby agree to make a good-faith effort to resolve the dispute by written notice and discussion for at least 30 days. This informal process does not prevent either party from seeking urgent injunctive relief or filing in small claims court where eligible. Mandatory consumer rights in your jurisdiction are not waived where they cannot lawfully be waived.
General terms
You may not assign these Terms without our written consent. We may assign these Terms in connection with a reorganization, merger, acquisition, financing, or sale of assets, or to an affiliate.
If a provision is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. Neither party is liable for a delay caused by events beyond its reasonable control, except for payment obligations. Section headings are for convenience only.
These Terms, the Privacy Policy, purchase terms, and any additional terms expressly presented for a feature, plan, organization, or Marketplace program form the complete agreement regarding the Services and supersede prior agreements on the same subject. If additional terms conflict with these Terms, the additional terms control for the applicable service.
You consent to receive notices electronically. We may update these Terms from time to time. We will post the revised Terms, update the effective date, and provide additional notice of material changes where appropriate. Continuing to use the Services after revised Terms take effect means you accept them.
