These Terms of Service ("Terms") constitute a legal agreement between you ("you" or "User") and Moxby, Inc. ("Moxby," "we," "our," or "us"). By accessing or using our website (the "Site") or any Moxby products, services, platforms, APIs, or software provided through the Site (collectively, the "Services"), you agree to these Terms and our Privacy Policy. Moxby's Rights

We retain all rights, title, and interest in and to:

  • The Moxby name, logo, branding, domain, and design elements
  • All site content, platform architecture, features, documentation, and algorithms
  • Software, APIs, interfaces, and technical infrastructure

These elements are protected by intellectual property laws including copyright, trademark, and patent laws.

Your Rights

You own all rights to:

  • Content you upload or create using the Services
  • Code, projects, configurations, and modifications generated or exported
  • Any business logic or derivative works you develop from generated assets

Moxby does not claim ownership of user-generated content, nor do we impose license fees, royalties, or attribution requirements for your usage of generated outputs.

4. Data Usage and Training

Data Collection

We collect and process usage data (e.g., prompts, feedback, and interaction patterns) to improve the Services. Please see our privacy policy for full details.

AI Training and Improvement

Unless otherwise specified in your plan, your data may be used to:

  • Train our AI models
  • Improve code generation quality
  • Enhance user experience and reliability

Enterprise customers can opt out of AI training through a custom data agreement.

5. User Accounts

Account Responsibilities

  • You are responsible for maintaining account security
  • You must keep credentials confidential
  • You may not share or transfer your account
  • You are responsible for any activity under your account

Account Termination

We reserve the right to suspend or terminate your access for violations of these Terms or applicable laws. You may delete your account by contacting [email protected].

6. Acceptable Use

You agree not to:

  • Reverse-engineer, copy, or exploit the Services
  • Use automated tools, bots, or scrapers without permission
  • Disrupt or overload the platform
  • Upload malicious code or violate any law

You may not use Moxby in any jurisdiction subject to embargo or sanctions under U.S. law.

7. Subscription, Pricing, and Payments

Billing Terms

  • Services are subscription-based and billed monthly
  • Subscriptions renew automatically unless canceled
  • You may cancel anytime; cancellations apply at the end of the billing cycle

Refunds

All payments are non-refundable unless we determine otherwise, including for billing errors or exceptional cases.

8. Generated Content Use

You may:

  • Use, sell, or distribute generated outputs
  • Modify and adapt generated code or assets
  • Integrate outputs into commercial software or services

We place no restrictions on generated code or media, and we do not require attribution.

9. DMCA and Copyright

We respect intellectual property rights and comply with the DMCA. If you believe your rights have been infringed, contact [email protected] with:

  • The allegedly infringing content
  • A statement made under penalty of perjury regarding the claim

10. Disclaimers and Limitations

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

To the fullest extent permitted by law, Moxby is not liable for:

  • Any direct, indirect, incidental, or consequential damages
  • Data loss, system downtime, or loss of revenue
  • Bugs or inaccuracies in AI-generated code
  • User reliance on any output for critical functions

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnity

You agree to indemnify and hold harmless Moxby, its affiliates, employees, and licensors against claims arising from:

  • Your use of the Services
  • Violation of these Terms
  • Infringement of third-party rights
  • Projects or products you build using Moxby

12. Governing Law

These Terms are governed by the laws of the State of Delaware. Any disputes will be resolved exclusively in the courts of Delaware.

13. Changes to Terms

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of any changes.
